These Skyway Beauty Terms of Sale (“Terms”) apply to orders for products placed on our website www.skywaybeautysupply.com (“Site”) provided by Skyway Beauty Supply, LLC (“Skyway,” “we,” “us,” or “our”). This Site is intended for professional use by (1) salon owners, (2) licensed stylists, and (3) licensed barbers (collectively referred to as “Salon Professionals”). All purchases placed on the Site are subject to these Terms as well as our Website Terms of Use.

   1. Sales. Skyway is a distributor of professional haircare products (“Products”), and we make Products available to Salon Professionals for their legitimate business purposes in their capacity as Salon Professionals pursuant to our agreements with manufacturers of such Products. Skyway reserves the right to investigate or cancel orders that present an actual or potential violation of these Terms, our Website Terms of Use, or any other standards in connection with the use of the Site. 
   2. Resale. Salon Professionals who maintain a valid resale certificate are permitted to resell certain retail Products subject to these Terms. We may, from time to time, require that Salon Professionals provide reasonable evidence of a valid resale certificate; however, it is Salon Professionals’ responsibility to, at all times, ensure maintenance of a valid resale certificate to permit sale of products (including the Products) at retail, to collect all applicable sales taxes, to remit such taxes to the applicable taxing authority, and to comply with all other applicable laws. Non-retail Products, including those that are marked as being “professional use only” or “salon use only”, may not in any circumstance be resold and are solely intended for use by the Salon Professional. Salon Professionals who are reasonably identified as engaging in diversion or unauthorized resale of Products may be prohibited from using the Site.
   3. Diversion. Salon Professionals are strictly prohibited from reselling any Products purchased through the Site outside of appropriate channels, including sales outside of the United States and online. Salon Professional recognizes that unauthorized resale of Products, and unauthorized unprofessional use can damage the applicable manufacturer’s reputation. 
      1. Permitted Uses and Sales. All Products purchased by Salon Professionals via the Site will either be: (a) professional or retail products used by Salon Professionals in connection with providing services to customers or clients, or (b) in the case of retail Products, will only be sold only to legitimate customers or clients in reasonable and appropriate quantities for personal use. 
      2. Prohibitions. Salon Professionals are strictly prohibited from reselling Products purchased from the Site to businesses and in quantities or scenarios that reasonably indicate that such resale is not for personal use. Salon Professionals are prohibited from selling Products to any known diverter or redistributor of Products and are required to immediately report to Skyway (using contact information below) any person who attempts to buy Products for any purpose other than their personal use or in quantities exceeding reasonable personal use. 
      3. Compliance and Records. Skyway may monitor Salon Professionals’ compliance with these Terms and may restrict access to the Site if Skyway reasonably suspects that the Salon Professional is engaging in diversion, any other unauthorized sales, or otherwise violating these Terms. Salon Professionals are required to maintain records of all sales of retail Products purchased from the Site by their customers exceeding $500 USD and will make such records available to Skyway upon request. The Salon Professional is responsible for their employees’, agents’ and contractors’ compliance with these Terms and ensuring that they are aware of such resale prohibitions. Salon Professional agrees that, if it violates these Terms, Skyway or the manufacturer of the relevant Product: (a) shall be entitled to obtain an injunction to prevent such violation; and (b) will be reimbursed for damages of at least the sum equal to the full retail price normally charged by Salon Professional for any of the Products sold to Salon Professional that are resold in violation of these Terms, in addition to legal fees and costs incurred to recover any diverted Product and enforce these Terms.
      4. Price. Skyway endeavors to maintain up to date Product information, including prices, on the Site. Skyway reserves the right to change prices of Products at any time without notice to you. 
      5. Availability. Skyway may change its Product offering at any time without notice to you. 
      6. Shipping and Returns.  You will be presented an option to either pick up your order from our distribution center or to have your order shipped or delivered. The price of the shipment or delivery method will be presented upon checkout. Merchandise must be returned or exchanged (due to damage, defect, shipped in error) within 30 days of receipt of goods. ALL returns must be accompanied by the invoice/receipt number, picture, or the date in which the Products were purchased. Any damaged, defective or incorrect items that are approved will be replaced with a new and correct item.
